Photography and Videography Services Agreement
1. Exclusive Services
1.1. Scope of Services: Luke Tannous (hereinafter referred to as "the Photographer") agrees to provide exclusive photography and videography services for the client's commercial event.
2. Booking and Payments
2.1. Booking Fee: A non-refundable booking fee of 50% of the total package price is required to secure the Photographer's services.
2.2. Final Payment: The remaining balance is due no later than 15 days prior to the event date. Failure to pay the final balance may result in cancellation of services.
3. Cancellation and Refunds
3.1. Cancellation Policy: If the client cancels the event:
More than 90 days prior to the event date: Full refund of the booking fee.
Within 90 days of the event date: The booking fee is non-refundable.
3.2. Photographer's Cancellation: In the event the Photographer is unable to perform the agreed services due to unforeseen circumstances, a full refund of all payments made by the client will be provided.
4. Copyright and Usage
4.1. Ownership: The Photographer retains the exclusive copyright of all photographs and videos captured during the event.
4.2. Usage Rights: The client may use the images and videos for the agreed-upon purposes, including promotional materials, social media, and marketing, but may not sell or transfer ownership without written permission from the Photographer.
5. Performance
5.1. Performance Guarantee: The Photographer will make every reasonable effort to fulfill the agreed services. However, in the event of unforeseen circumstances such as illness or equipment failure, the Photographer's liability is limited to the return of all payments made by the client.
6. Assistance and Additional Staff
6.1. Assistant: The Photographer may employ assistants or additional staff as deemed necessary for the successful execution of the event.
7. Pricing
7.1. Price Agreement: Prices are subject to change but will remain fixed once agreed upon for the event.
8. Editing and Post-Production
8.1. Additional Editing: Any additional editing beyond the agreed scope may incur additional charges, to be determined by the Photographer.
9. Overtime and Additional Hours
9.1. Overtime Charges: Hours beyond the contracted time will be charged at the Photographer's hourly rate, with prior agreement from the client.
10. Travel and Accommodation
10.1. Client Responsibilities: The client is responsible for covering any travel and accommodation expenses for the Photographer and their team if the event takes place outside a 50km radius from the Photographer's location.
11. Use of Images and Videos
11.1. Restrictions: The client may not sell or transfer ownership of the images and videos without written permission from the Photographer.
12. Meal Provision
12.1. Client Responsibility: The client agrees to provide meals for the Photographer and their team during the event, as per industry standards.
13. Delivery and Collection
13.1. Delivery Time: The Photographer will deliver the final product within eight weeks of the event date, unless otherwise agreed upon.
14. Harassment and Conduct
14.1. Professional Conduct: Any form of harassment or misconduct towards the Photographer or their team may result in termination of services without refund.
15. Liability and Damages
15.1. Liability: The Photographer is not liable for any injuries or damages that occur during the event.
16. Unedited Material
16.1. Editing Policy: The Photographer will not provide unedited material to the client.
17. Backup and Retention
17.1. Retention Policy: The Photographer will retain edited material for one year from the event date. After this period, the Photographer may delete the material at their discretion.
18. Album Design and Printing
18.1. Approval and Printing: The client must approve all album designs within 30 working days to avoid delays in printing and delivery.
19. Payment Deadline
19.1. Payment Terms: Payment must be settled in full prior to the event date. Failure to do so may result in withholding of services and products.
20. Indemnity
20.1. Client's Indemnification: The client agrees to indemnify and hold harmless the Photographer against any claims, damages, losses, liabilities, and expenses arising from the client's breach of this agreement.
21. Governing Law
21.1. Jurisdiction: This agreement shall be governed by and construed in accordance with the laws of [Your Jurisdiction].
22. Entire Agreement
22.1. Entirety: This agreement constitutes the entire understanding between the parties concerning the subject matter herein and supersedes all prior agreements, negotiations, and understandings.
